License Agreement & Terms of Sale

This End User License Agreement and Terms of Sale (“Agreement”) is between Central Valley Ignition (“CVI,” “we,” “us”) and the person or entity acquiring a license (“You”). By checking the acceptance box at checkout, by installing, or by using the CVI-RTSP software module (the “Software” or “Module”), You agree to be bound by this Agreement. If You do not agree, do not install or use the Software.

1. License grant

Subject to Your compliance with this Agreement and payment of applicable fees, CVI grants You a non-exclusive, non-transferable, non-sublicensable, perpetual (subject to Section 13) license to install and run one (1) copy of the Software on the number of Ignition gateways and up to the camera-feed count corresponding to the tier You purchased: Free (up to 6 feeds), Pro (up to 24 feeds, one gateway), Unlimited (unlimited feeds, one gateway), or Integrator (as defined in Section 11). “Per gateway” means one production Ignition gateway installation. “Perpetual” describes the license term only and is not a guarantee that the Software will function indefinitely or remain compatible with future versions of Ignition, your operating system, or your cameras.

2. Restrictions

You shall not, and shall not permit any third party to: (a) copy, distribute, sublicense, rent, lease, lend, or host the Software for the benefit of third parties except as expressly permitted under an Integrator license; (b) reverse engineer, decompile, disassemble, or attempt to derive the source code, license-validation logic, or signing keys of the Software, except to the limited extent applicable law prohibits this restriction; (c) circumvent, disable, or tamper with feed-count limits, licensing, or activation; (d) remove or alter any proprietary notices; or (e) use the Software in violation of applicable law, including privacy, surveillance, wiretap, and data-protection laws governing camera footage.

3. Ownership

The Software is licensed, not sold. CVI and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted except as expressly stated. Third-party marks (Ignition, Inductive Automation, Perspective, UniFi Protect, Lemon Squeezy) are the property of their respective owners and are referenced for compatibility and identification only.

4. Fees, perpetual license & version upgrades

Paid licenses are per gateway and perpetual for the major version You purchased, and include maintenance patches CVI issues for that version at its discretion. Access to future major versions is optional and not included. If You wish to upgrade to a new major version, You may purchase an upgrade for a fee equal to twenty percent (20%) of the then-current list price of Your tier, per gateway, per major version. Upgrades are billed only when You affirmatively elect to purchase them; this is not a subscription and nothing renews or charges automatically. Declining an upgrade does not affect Your continued perpetual use of the version You already licensed.

5. Refunds — all sales final

The Free tier (up to 6 feeds) is provided at no cost specifically so You can install the Software and verify its compatibility and suitability before purchasing. Accordingly, all paid license sales are final and non-refundable, except (a) where a refund is required by applicable non-waivable law, or (b) at CVI’s sole discretion. See the Refund Policy, which is incorporated by reference. Any refund CVI elects or is required to provide is Your sole and exclusive remedy and terminates the corresponding license.

6. Free tier & verification

The Free tier (up to 6 feeds) is provided at no cost specifically so that You may install the Software and verify its compatibility and suitability with Your own gateway, cameras, network, and intended use before purchasing a paid license. You acknowledge You are solely responsible for that determination.

7. Disclaimer of warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CVI AND ITS SUPPLIERS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. CVI DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, BE TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT IT WILL ACHIEVE ANY PARTICULAR FEED COUNT, LATENCY, OR PERFORMANCE LEVEL ON YOUR HARDWARE. PERFORMANCE FIGURES, FEED COUNTS, LATENCY RANGES, BENCHMARKS, AND SECURITY DESCRIPTIONS ON CVI’S WEBSITE ARE ILLUSTRATIVE OF CVI’S OWN TEST ENVIRONMENT AND ARE NOT GUARANTEES FOR YOUR ENVIRONMENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

8. No security guarantee

No software is immune from vulnerabilities or misconfiguration. While the Software is designed so that camera credentials are handled server-side and not delivered to client browsers, CVI does not warrant that the Software, Your gateway, Your network, or Your cameras are or will remain secure, or that camera streams or credentials cannot be accessed, intercepted, or exposed. You are solely responsible for securing Your environment, applying updates, and configuring access controls. To the extent permitted by law, CVI disclaims all liability for unauthorized access, data exposure, or security incidents.

9. High-risk / non-critical use; assumption of risk

The Software is a view-only situational-awareness tool with typical latency of several seconds. It does not record video and is NOT a security system, life-safety system, intrusion-detection system, fire-detection system, alarm-of-record, or real-time control system, and must not be relied upon for those purposes. It is not designed, tested, or licensed for use in any application where failure, delay, freezing, or unavailability of a video feed could lead to death, personal injury, property damage, security breach, or environmental harm. You assume all risk of, and CVI disclaims all liability for, any such use. “Self-healing” and automatic-reconnection features are provided on a commercially reasonable-effort basis and are not guaranteed to detect or restore any feed. You have not relied, and will not rely, on any statement, performance figure, or representation outside this Agreement, including any statement on the marketing website. Always maintain independent monitoring, recording (NVR/VMS), and alarm systems.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CVI (OR ITS OWNER, MEMBERS, SUPPLIERS, OR LICENSORS) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, PROPERTY DAMAGE, OR LOSS ARISING FROM A SECURITY OR SAFETY INCIDENT, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CVI’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID CVI FOR THE LICENSE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT, OR ONE HUNDRED U.S. DOLLARS (US$100) IF YOU USE THE FREE TIER. THESE LIMITATIONS APPLY NOTWITHSTANDING THE FAILURE OF ANY ESSENTIAL PURPOSE OF ANY LIMITED REMEDY, AND ARE A FUNDAMENTAL BASIS OF THE BARGAIN.

11. Integrator / reseller license

An Integrator license permits You (the “Integrator”) to install and deploy the Software on multiple Ignition gateways You operate or manage on behalf of Your end customers (“End Customers”), and to include the Software as part of integration services You provide, subject to the following:

12. Support

Where a tier includes support, CVI provides best-effort technical support by email only (support@centralvalleyignition.com) during normal U.S. business hours. Any stated response time is a goal, not a guarantee, and may be longer during weekends, holidays, or periods of limited availability. CVI does not guarantee any response time, resolution, uptime, or continued compatibility with future versions of Ignition or third-party cameras, and may modify or discontinue support at any time. Support is limited to the current major version and does not cover Your gateway, network, cameras, NVR/VMS, operating system, or other third-party products. The Free tier is provided without support.

13. Termination

This license terminates automatically if You breach any term and fail to cure within fourteen (14) days of notice. On termination You must cease all use and remove all copies of the Software. Sections 2, 3, 7–10, 14, and 15 survive termination.

14. Indemnification

You will defend, indemnify, and hold harmless CVI and its owners, members, and agents from and against any claim, loss, liability, damage, fine, or expense (including reasonable attorneys’ fees) arising out of or related to: (a) Your deployment, configuration, or use of the Software; (b) the cameras, footage, networks, or systems You connect to the Software; (c) Your compliance or non-compliance with surveillance, privacy, wiretap, data-protection, or labor laws, including any notice or consent requirements; or (d) any use of the Software in violation of this Agreement or applicable law. You are solely responsible for the lawful operation of Your camera systems and for all footage and personal data captured by them.

15. Export control & sanctions

The Software is subject to U.S. export-control and economic-sanctions laws, including the Export Administration Regulations and regulations administered by the U.S. Treasury Office of Foreign Assets Control (OFAC). You represent that You are not located in, organized under, or a resident of any country or region subject to U.S. embargo or comprehensive sanctions, and are not on any U.S. restricted-party or denied-party list. You will not export, re-export, or transfer the Software in violation of these laws.

16. Governing law & venue

This Agreement is governed by the laws of the State of California, USA, without regard to its conflict-of-laws rules and excluding the U.N. Convention on Contracts for the International Sale of Goods. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Merced County, California, and waive any objection to that venue. This Agreement and its governing-law and venue provisions apply to all customers regardless of location.

17. General

CVI is not liable for any failure or delay caused by events beyond its reasonable control. If any provision is held unenforceable, the remainder stays in effect and the provision is reformed to the minimum extent necessary. No failure to enforce any right is a waiver. You may not assign this Agreement without CVI’s prior written consent, except an Integrator may sublicense within the scope of its Integrator license; CVI may assign freely. This Agreement, together with the Refund Policy and any order confirmation, is the entire agreement between the parties regarding the Software and supersedes all prior or contemporaneous communications, proposals, and marketing statements, whether oral or written. Statements on CVI’s website are descriptive and do not form warranties except as expressly set out here. We may update this Agreement and will revise the date above.
